Continental AG Intends to Place Approx. 14,6 Million New Shares
Hanover – With approval of the supervisory board, the management board of
Continental Aktiengesellschaft today decided to increase the company’s
share capital against contribution in cash, with the exclusion of
shareholders’ pre-emptive rights. The company intends to increase its
capital by issuing up to 14.652.912 million new Continental shares by way
of an accelerated bookbuilt offering to German and international
institutional investors. The new shares will be fully entitled to dividends
beginning fiscal year 2007.
The size of the offering amounts to approximately 10% of the company’s
registered share capital. Pricing and allocation of the new shares is
expected to be completed in the course of Tuesday, October 30.
The proceeds of the capital increase will contribute to the financing of
the acquisition of Siemens VDO Automotive AG.
Continental also announces that the Management Report as of September 30,
2007 will be published in the morning of Tuesday, October 30 (rather than
on October 31, as originally planned).
